Terms of Service

1. Acceptance of these terms

These Terms of Service (“Terms”) form a binding agreement between you and Palette Studio (“Palette,” “we,” “us”) governing your use of the website at palettes.studio and the services available through it (together, the “Service”).

By creating an account, uploading a photograph, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Service.

2. What Palette is

Palette is an AI-assisted personal style platform. You upload a portrait photograph and we use third-party artificial-intelligence services to generate a personalised report covering colour palette, hair colour and style, makeup, nails, and wardrobe recommendations, together with AI-generated try-on visualisations rendered from your own portrait.

The Service produces editorial-grade recommendations. It is not professional styling, medical, dermatological, cosmetic, or legal advice. Style is subjective, and outcomes from following any recommendation depend on factors outside our control. You remain solely responsible for any decisions you make based on the output.

3. Eligibility

To use the Service you must:

  • be at least 16 years old (or the higher age of digital consent in your jurisdiction);
  • have the legal capacity to enter into a binding agreement;
  • not be barred from using the Service under the laws of your country of residence;
  • provide accurate registration information and keep it up to date.

If you use the Service on behalf of an entity, you represent that you have authority to bind that entity to these Terms.

4. Your account

You are responsible for safeguarding your account credentials and for any activity that occurs under your account. If you suspect unauthorised access, change your password immediately and contact us at support@palettes.studio. We are not liable for any loss arising from unauthorised use of your account where you have not taken reasonable steps to secure it.

You may close your account at any time from your account settings; closing your account will delete your stored photographs, jobs, and analysis results in accordance with the retention policy in our Privacy Policy.

5. Acceptable use

You agree not to:

  • upload any photograph of a person other than yourself unless you have that person's express, informed consent (and, if they are a minor, the consent of their parent or legal guardian);
  • upload images that are unlawful, defamatory, sexually explicit, or otherwise objectionable;
  • upload images for which you do not hold the necessary intellectual-property rights;
  • impersonate any other person or misrepresent your affiliation with any person or entity;
  • attempt to interfere with, overload, probe, scan, or test the vulnerability of the Service;
  • use bots, scripts, scrapers, or other automated means to access or submit content;
  • resell, redistribute, or commercially exploit the Service or its output without our prior written consent;
  • use the Service to develop a competing product or to train any machine-learning model;
  • violate any law, regulation, or third-party right while using the Service.

We may suspend or terminate any account that we reasonably believe has breached these rules, with or without notice, and may withhold a refund where the breach justifies it.

6. Photographs and content you upload

You retain all ownership and intellectual-property rights in any photograph or other content you upload (“Your Content”). You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, transmit, and process Your Content solely to provide the Service to you, including by sending it to our AI processor to generate your analysis and try-on imagery, and to make the result available to you. This licence ends when you delete Your Content or your account, except to the extent we are legally required to retain a copy.

We treat Your Content, and the analysis and imagery we generate from it, as your private and confidential information. Specifically, we will not:

  • use Your Content or any output we generate from it for advertising, marketing collateral, social-media posts, testimonials, case studies, or any other promotional purpose;
  • use Your Content or generated output to train, fine-tune, or otherwise improve any AI model;
  • display Your Content or generated output publicly, share it on social media, or surface it to other users;
  • sell, rent, licence, or trade Your Content or your personal information;
  • claim ownership of Your Content.

Our AI processor's standard API policy similarly forbids training on submitted content. Further detail on how Your Content is handled is set out in our Privacy Policy.

You represent and warrant that (a) you own or have all necessary rights in Your Content, (b) you have any consents required for it to be processed by us and our processors, and (c) Your Content does not violate any law or any third party's rights.

7. Generated content

The analysis, palettes, recommendations, and AI-generated images that the Service produces from Your Content (“Generated Content”) are made available to you for your personal, non-commercial use. As between you and us, you may keep and use the Generated Content for personal purposes, and we will not assert ownership of it against you.

However: Generated Content is produced by AI models that we do not own and may incidentally resemble outputs given to other users. We make no representation that Generated Content is unique, copyrightable, fit for any particular purpose, or free from third-party rights. Some jurisdictions limit copyright in AI-generated works. You assume all risk of relying on Generated Content for any commercial purpose.

8. Pricing, payment, and currency

The Service is offered as (a) a free trial limited to one analysis per account, and (b) one-time bundle purchases. Prices are displayed at the point of purchase. Payments are processed by our payment provider, Stripe.

You may choose the currency in which prices are displayed and charged from the currency selector in the site header. Prices in non-USD currencies are computed by applying our internal exchange-rate snapshot to the underlying USD price and rounding to a whole unit of the chosen currency. The exchange rates we apply are updated periodically and may differ from interbank or card-network rates at the moment of your purchase. If your card is denominated in a different currency from the one you select, your card issuer may apply its own foreign-exchange fee, which is between you and your issuer.

You authorise us (through Stripe) to charge the payment method you select for the price displayed at checkout, plus any applicable taxes. You are responsible for keeping your payment information current; if a charge fails we may suspend the affected purchase.

9. Free trial

Each new account is eligible for one (1) free analysis through the free-trial bundle. The free trial is non-transferable and may not be combined with any other offer. We may modify or discontinue the free trial at any time without notice. We reserve the right to deny a free trial to accounts that we believe have been created to circumvent this one-per-account limit.

10. Refunds

Because each analysis consumes computing resources at the moment it is run, we generally do not provide refunds once an analysis has been started or completed. The following exceptions apply:

  • Technical failure. If an analysis you paid for fails for technical reasons attributable to us, we will (at our option) re-run it or refund the bundle price.
  • Unauthorised charge. If you believe you were charged in error or without authorisation, contact support@palettes.studio within 30 days and we will investigate in good faith.
  • Statutory rights. Nothing in this section limits any statutory refund or cancellation right that applies to you under the consumer-protection laws of your jurisdiction.

11. Service availability and changes

We strive to keep the Service available but do not guarantee uninterrupted access. We may modify, suspend, or discontinue all or part of the Service at any time, and may impose limits on certain features. Where reasonably practicable we will give you advance notice of material adverse changes.

We rely on third-party AI providers; if a provider changes its API, pricing, or policies we may need to change, suspend, or discontinue affected features.

12. Intellectual property

The Service, including the platform code, design, prompts, copy, and trade marks, is owned by Palette Studio and its licensors. Nothing in these Terms transfers any of those rights to you. You may not copy, modify, distribute, sell, reverse-engineer, or create derivative works of any part of the Service except as expressly permitted in writing by us or under mandatory law.

13. Disclaimers

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted operation. We do not warrant that any recommendation or Generated Content will be accurate, complete, suitable for your situation, or produce any particular outcome.

14. Limitation of liability

To the maximum extent permitted by law, in no event will Palette Studio, its officers, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or relating to your use of the Service, whether based on contract, tort (including negligence), statute, or any other legal theory, and whether or not we have been advised of the possibility of such damages.

Our total aggregate liability for any claim arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred United States dollars (US$100).

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including statutory consumer-protection rights.

15. Indemnification

You agree to defend, indemnify, and hold harmless Palette Studio and its officers, employees, and agents from any claim, demand, loss, or expense (including reasonable legal fees) arising out of (a) Your Content, (b) your breach of these Terms, (c) your violation of any law or the rights of any third party, or (d) your misuse of Generated Content.

16. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service if you breach these Terms, if we are required to do so by law, or if we discontinue the Service. On termination, the sections of these Terms that by their nature should survive (including sections 6, 7, 13, 14, 15, 16, 18, and 19) will survive.

17. Governing law and disputes

These Terms are governed by the laws of Singapore, without regard to its conflict-of-laws principles. Subject to any non-waivable rights you have under the consumer law of your country of residence, you and we agree to submit to the exclusive jurisdiction of the courts of Singapore for any dispute arising out of or relating to these Terms or the Service.

18. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy and any other notices we provide in connection with the Service, are the entire agreement between you and us regarding the Service.
  • No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
  • Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
  • Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger or sale.
  • No third-party beneficiaries. These Terms create no rights for any third party.
  • Changes. We may modify these Terms from time to time. When the changes are material we will give you reasonable notice (for example, by email or via the Service) before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
